LICENSE AGREEMENT AND LIMITED PRODUCT WARRANTY
DEFINITION OF TERMS:
“The Software” The ACCS-S control software or any of its components.
“The User” Any person(s) responsible for installing or using the ACCS-S software, including end users and agents.
“Authorised” Persons will only be deemed to be “authorised” to use The Software if they have purchased or otherwise
obtained one or more copies by legal means, and with due authority from appointed agents.
GENERAL:
You must read the following terms and conditions and agree to abide by them before using The Software. Use or attempted use of
The Software implies acceptance. If you do not agree to the terms and conditions, or have any queries regarding them, contact
us immediately. Do not attempt to use The Software.
This agreement is to be governed by the laws of the United Kingdom.
COPYRIGHT:
The Software is protected by copyright and other laws. Ownership of the copyright is vested in Auditel and will remain so at all times.
The copyright extends to the code itself and The Software’s appearance, structure and documentation.
LICENSE:
Auditel hereby grants The Authorised User a license to use The Software under the following conditions:
You are permitted to:
1. Install or use The Software on one “main” computer, which is linked to an conference system.
2. Install or use The Software on up to three other computers for preparation of data files for support purposes only.
3. Make no more than two copies of The Software on removable media for backup purposes only.
4. Freely distribute data files prepared using The Software, plus any voting results and journal files generated by The Software.
You must not
:
1. Make unauthorised copies of The Software for use on other systems, or pass such copies to third parties.
2. Either knowingly, or by act of omission or neglect, permit unauthorised copies of The Software to be made. This means that you
should take reasonable care to protect The Software from unauthorised copying.
3. Transfer The Software or the license to another owner without the knowledge and written authorisation of Auditel. Given such
authorisation, The Software may only be transferred along with the associated conference system. All copies must be
transferred – previous users must not retain any copies of The Software, or its documentation.
4. Decompile or reverse engineer any part of The Software, or attempt to do so.
5. Copy, publish, revise or otherwise alter the documentation, or transmit it by any method.
Failure to observe the above conditions will automatically terminate your license and may render you liable to criminal and/or civil
action.
LIMITED WARRANTY:
1. Except as specifically stated in this agreement, The Software is provided and licensed “as is” without warranty of any kind, either
express or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.
2. Auditel warrants that The Software will substantially perform the functions or generally conform to the specifications published
by Auditel, and included in this manual.
3. Auditel warrants that the disks on which The Software is provided will be free from defects in materials and workmanship and
will remain so under normal use for a period of 12 months from the date of delivery.
4. Auditel does not warrant that the functions contained in The Software will meet your requirements. It is the responsibility of The
User to ensure that The Software will meet the intended requirements prior to purchase.
5. Every care is taken to ensure that The Software is error free and that the documentation accurately describes its features and
operation. However, no warranty is given that this will be so.
6. Other than required by law, Auditel will not be liable for any damages, including lost profits, lost savings, or other incidental or
consequential damages, arising out of the use or inability to use The Software - even if Auditel, or one of its agents, has been
advised of the possibility of such damages.
7. No warranty is given that The Software will function correctly on any computer system other than one supplied by us.
8. If any provision of this agreement is held to be unenforceable, this shall not affect the enforcement of the remaining provisions.
