Synology reserves all rights not expressly granted
toyouinthisEULA.Withoutlimitingtheforegoing,
you willnot, and you willnot authorize or permit
any third party to: (a) use the Software for any
purposeotherthaninconnectionwiththeProduct;
(b) license, distribute, lease, rent, lend, transfer,
assign or otherwise dispose of the Software or
use the Software in any commercial hosted or
servicebureau environment;(c)reverseengineer,
decompile,disassemble orattempttodiscoverthe
sourcecodefororanytradesecretsrelated to the
Software, except andonly to theextent thatsuch
activity is expressly permitted by applicable law
notwithstanding this limitation; (d) adapt, modify,

Software;(e)remove,alterorobscureanycopyright

Section 6. Open Source.
The Softwaremay
containcomponentslicensedtoSynologyunderthe
GNUGeneralPublicLicense("GPLComponents"),
currentlyavailable at http://www.gnu.org/licenses/
gpl.html. The termsoftheGPLwill control solely
withrespecttothe GPLComponents totheextent
that this EULA conflicts with the requirements
of the GPL with respect to your use of the GPL
Components, and, in such event,youagree tobe
boundbytheGPLwithrespecttoyouruseofsuch
components.
Section 7. Audit.
Synologywill havetherightto
audityourcompliancewiththetermsofthisEULA.
Youagreetograntaccess toSynologytofacilities,
equipment,books,records and documents and to
otherwise reasonably cooperate with Synologyin
ordertofacilitateanysuchaudit.
Section 8. Ownership.
TheSoftwareisvaluable
property of Synology and its licensors and is
protected by copyright and other intellectual
propertylawsandtreaties.Synologyoritslicensors
ownallright,titleandinterestinandtotheSoftware
and all copyright and other intellectual property
rightsintheSoftware.
Section 9. Limited Warranty.
Synologywarrants
that for a period of ninety (90) days after either
your (a) installation of the Software on Products
that do not include pre-installed Software or
(b) use of a Productthatincludes pre-installed
Software,asapplicable,(the"WarrantyPeriod"),the
Software will substantiallyconform to Synology's
published specifications for the Software, if any,
or otherwise set forthontheWeb Site. Synology
will use commercially reasonable efforts to, in
Synology's sole discretion, either correct anysuch
nonconformity in the Software or replace any
Software that fails to comply with the foregoing
warranty,providedthat you give Synologywritten
notice of such noncompliance within the Warranty
Period. The foregoing warranty does not apply
to any noncompliance resulting from any: (w)
use, reproduction, distribution or disclosure not in
accordancewiththisEULA;(x) anycustomization,
modification or other alteration of the Software by

You may not transfer

Section 19. Dispute Resolution.
Any dispute,

this Warranty, the Software or services provided
by Synology with respect to the Software or the
relationshipbetween you and Synology will be
resolvedexclusivelyandnallybyarbitrationunder
the current commercial rules of the American
ArbitrationAssociation ifyoureside in the United
States,except as otherwise providedbelow. In
suchcases,thearbitrationwillbeconductedbefore
asingle arbitrator,andwillbe limitedsolelyto the
disputebetweenyouandSynology.Thearbitration,
or any portion of it, will notbe consolidated with
any otherarbitration and will not beconducted on
aclass-wide or class action basis.The arbitration
shall be held inKingCounty,Washington,U.S.A.
bysubmission of documents, bytelephone,online
or in person as determinedby thearbitratorat
the request ofthe parties.The prevailing party in
anyarbitrationor legal action occurringwithin the
UnitedStates or otherwise shall receive all costs
and reasonable attorneys’ fees, including any
arbitration fee paid by the prevailing party.Any
decisionrendered in such arbitration proceedings
will be final and binding on the parties, and
judgment may beenteredthereon in anycourt of
competent jurisdiction.Youunderstandthat,in the
absence of this provision, you wouldhave had a
right to litigate any such dispute, controversy or

In any arbitration,
mediation, or other legalaction or proceeding to
enforce rights or remedies under this EULA, the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
Section 21. Severability.
Ifany provisionofthis
EULAisheldbyacourtofcompetentjurisdictionto

Section 1. Definitions.
(a) "CategoryI Product"

RS408-RP, RS408, RS407, RX1211, RX1211RP,
DX1211, DX510, DX5, RX4, and RAM Module
(1GB/2GB). (c) "Category III Product" means all
other Synology product models purchased by
Customer afterMarch1, 2008. (d) "Category IV
Product"meansallotherSynologyproductmodels
purchased by Customer before February 29,
2008.(e) "Customer" means the original person
or entitypurchasing theProductfromSynologyor
an authorized Synology distributor or reseller. (f)
"Product" means a Category I Product, Category
II Product, Category III Product, or Category IV
Product and any hardware incorporated into the
product by Synology and any accompanying
documentation.(g)"Software" meanstheSynology
proprietarysoftwarethat accompaniestheProduct
when purchased by Customer, is downloaded
by Customer at the Web Site, or is pre-installed
on the Product by Synology, and includes any
firmware, associatedmedia, images, animations,
video,audio,textandapplets incorporatedintothe
softwareor Product andanyupdatesor upgrades
to such software. (h) "Warranty Period"means: (i)
theperiodcommencingon thedatethe Product is
purchased byCustomer and ending (1) ve years
aftersuchdatefor Category IProducts; (2) three
yearsaftersuchdateforCategoryIIProducts;or(3)
twoyearsaftersuchdateforCategoryIIIProducts;
or (ii) one year after such date for Category IV
Products. (i) "Web Site"meanstheSynology web
sitelocatedatwww.synology.com.
Section 2. Limited Warranty and Remedies
2.1 Limited Warranty.
SubjecttoSection2.7,
Synology warrants toCustomerthateach Product
(a) willbe freeof materialdefects inworkmanship
and(b)undernormaluse willperformsubstantially
i n a c c o r d a n c e w i t h S y n o l o g y ' s p u b l i s h e d
specifications fortheProduct during theWarranty
Period.SynologywarrantstheSoftwareassetforth
in theaccompanying end user license agreement
providedwiththeProduct,ifany.
2.2 Product Registration.
Customers may
register Products with Synology and may obtain
the manufacturing date for Category I Products,
Category IIProducts and Category III Productsat
the WebSite. The failure toregistera Product at
the Web Site will notdiminish the warranty rights
setforthinSection2.1.Synologyisnotresponsible
forCustomer'sfailure to identifythe manufacturing
dateofanyProduct.
2.3 Exclusive Remedy.
If Customer gives
noticeofnoncompliancewithany ofthewarranties
set forth in Section 2.1 within the applicable
Warranty Period in the manner set forth below,
then, upon verification of the noncompliance by
Synology, Synology will, at Synology's option:
(a) use commercially reasonable efforts torepair
the Product, or (b) replace the noncomplying
Productorpartthereofuponreturnofthecomplete
Product in accordance with Section 2.4 The
foregoingsetsforth Synology'sentireliability and
Customer'ssoleand exclusive remedy forany
breachofwarrantyunderSection2.1 orany other
defect or deficiency in the Product. Customer
will reasonably assist Synology to diagnose and
validateanynonconformitywiththeProduct. The
warranty setforth inSection 2.1doesnot include:
(1) any warranty relating to the Software; (2)
physical installation or removal of the Product
from Customer'ssite; (3)visits toCustomer's site;
(4) labor necessary to effect repairs or replace
defective parts otherthan during Synology's or
its contracted service providers' normal local
businesshours,exclusiveofweekendsandservice
providers’holidays;(5)anyworkwithanythirdparty
equipmentorsoftware;(6)anywarrantyofthehard
diskifinstalledbyCustomeroranyotherthirdparty;
or(7) any warrantyof compatibilitywith the hard
disk.
2.4 Return.
AnyProductreturnedbyCustomer
under Section 2.3 must be assigned a Return
MerchandiseAuthorization ("RMA") number by
Synology before shipment and mustbe returned
in accordancewithSynology's then current RMA
procedures.Customermaycontactanyauthorized
SynologydistributororresellerorSynologySupport
to obtain assistance in obtaininganRMA, and
must provideproofof purchase andproduct serial
number when asking forsuch assistance. For
warrantyclaims,Customermustreturnthecomplete
ProducttoSynologyinaccordancewiththisSection
2.4tobeeligibleforcoverage under this Warranty.
AnyProduct returned without anRMAnumber,or
any Product that has beendisassembled (except
underthedirectionofSynology)willberefusedand
returnedtoCustomeratCustomer'sexpense.Any
Product that has been assigned a RMA number
must be returned in thesame condition asitwas
receivedfrom Synology totheaddressdesignated
bySynology,freightpre-paid,inpackagingsufcient
toprotectthe contents thereof andwith the RMA
numberprominentlydisplayedontheoutsideofthe
box.Customerisresponsibleforinsuranceandrisk
oflosswithrespecttoreturneditemsuntiltheyare
properly received by Synology. A Product issued
aRMAnumbermustbereturnedwithinfteen(15)
daysafterissuanceoftheapplicableRMAnumber.
2.5 Replacement by Synology.
If Synology
elects to replace any Product underthis Warranty
setforth in Section 2.1, thenSynology will ship a
replacement Product at Synology's expense via
the shipping method selected by Synology after
receipt of the nonconforming Product returned
in accordance with Section2.4 and validation by
Synology that the Product doesnot conform to
the warranty. Replacement Product will be new
or serviceably used, comparable in function and
performancetotheoriginalProductandwarranted
for the remainder of the original Warranty Period
or thirty (30)days after it isshipped to Customer,
whicheverperiod is longer AnyProduct found by
Synology to be non-defective will be returned to
Customer.
2.6 Support.
During the Warranty Period,
Synology will make available to Customer the
support services. Following the expiration of the
applicableWarranty Period, support for Products
may be available from Synology upon written
request.
2.7 Exclusions.
Theforegoingwarranties and
warranty obligations do not apply to any Product
that(a)hasbeeninstalledorusedinamannernot
speciedordescribedintheProductspecications;
(b)hasbeenrepaired,modiedoralteredbyanyone
other thanSynology oritsagentor designee; (c)
hasbeeninanywaymisused,abused,ordamaged;
(d) has been used with items not provided by
Synologyother than the hardware or software for
which the Product is designed; or (e) otherwise
fails to conform to the Productspecificationsand
such failure is attributable to causes notwithin or
under Synology's control. Further, theforegoing
warrantieswillbevoidif(1)Customerdisassembles
the Product except as authorized bySynology;
(2) Customer fails to implement any correction,
modification,enhancement, improvementorother
update made available to CustomerbySynology;
or(3)Customer implements, installs or uses any
correction,modication,enhancement,improvement
orotherupdate madeavailableby anythirdparty.
Thewarrantyset forth in Section2.1willterminate
uponCustomer'ssaleortransferoftheProducttoa
thirdparty.

Section 3. Limitations of Liability
3.1 Force Majeure.
Synology willnot be liable
for,orbeconsideredto be inbreachof or default
under this Warranty on account of, any delay or
failure to perform as required bythis Warranty
as a result of any cause or condition beyond its
reasonablecontrol(including,withoutlimitation,any
actorfailuretoactbyCustomer).
3.2 Disclaimer of Certain Damages.

OROTHERTHEORY.Theforegoingdisclaimerof
certaindamagesand limitationofliabilitywillapply
tothemaximumextentpermittedbyapplicablelaw.
The lawsof some states/jurisdictionsdonot allow
exclusionor limitation ofcertaindamages. To the
extent that those laws apply to the Product, the
exclusions andlimitationsset forth above maynot
applytoCustomer.
Section 4. Miscellaneous
4.1 Proprietary Rights.
The Product and
any accompanying Software and documentation
provided withthe Product includeproprietary and
intellectualpropertyrightsofSynologyanditsthird
partysuppliersandlicensors.Synologyretainsand
reservesallright,title,andinterestintheintellectual
property rights of the Product, and no title to or
ownership of any intellectual property rights in or
to the Product, any accompanying Software or
documentationandanyothergoodsprovidedunder
thisWarrantyistransferredtoCustomerunderthis
Warranty.Customerwill(a)complywiththeterms
and conditions of the Synology end user license
agreement accompanying anySoftware furnished
by Synology oranauthorized Synology distributor
orreseller;and(b)notattempttoreverseengineer
anyProductorcomponentthereoforaccompanying
Softwareorotherwisemisappropriate,circumventor
violateanyofSynology'sintellectualpropertyrights.
4.2 Assignment.
Customerwillnotassignany
ofitsrightsunderthisWarrantydirectly,byoperation
oflaworotherwise,withoutthepriorwrittenconsent
ofSynology.
4.3 No Additional Terms.
Exceptasexpressly
permitted by this Warranty, neither party will be
bound by,and each party specifically objects to,
anyterm,condition or other provisionthatconicts
with the provisions ofthisWarranty that ismade
by the other partyinany purchase order,receipt,
acceptance, confirmation, correspondence or
otherwise,unlesseach partyspecically agrees to
suchprovisioninwriting.Further,if this Warranty
conictswithany termsor conditionsof any other
agreement enteredintoby the partieswith respect
totheProduct,thisWarrantywillprevailunlessthe
otheragreementspecicallyreferencesthesections
ofthisWarrantythatitsupersedes.
4.4 A p p l i ca b l e Law.
U n l e s s e x p r e s s l y
prohibitedbylocal law,this Warrantyis governed
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The 1980U.N. Conventionon Contracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
4.5 D i s p u t e R e s o l u t i o n .
A n y d i s p u t e ,
controversy or claim arising out of or relating to
this Warranty, the Product or services provided
by Synology withrespect to theProduct or the
relationship between Customers residing within
the United States and Synology will be resolved
exclusively and finally by arbitration under the
currentcommercialrulesoftheAmericanArbitration
Association, except asotherwise provided below.
The arbitration will be conducted before a single
arbitrator,and will be limited solelytothe dispute
betweenCustomerandSynology.Thearbitration,
or any portion of it, will notbe consolidated with
any otherarbitration and will not beconducted on
aclass-wide or class action basis.The arbitration
shall be held inKingCounty,Washington,U.S.A.
bysubmission of documents, bytelephone,online
orinpersonasdetermined bythearbitrator atthe
request ofthe parties.Theprevailing party in any
arbitrationorlegalactionoccurringwithintheUnited
States or otherwise shall receive all costs and
reasonableattorneys’fees,includinganyarbitration
fee paid by the prevailing party.Any decision
rendered in such arbitration proceedings will be
final and binding on the parties, andjudgment
maybeenteredthereon in anycourtofcompetent
jurisdiction. Customer understands that, in the
absenceofthisprovision,Customerwouldhavehad
aright to litigateanysuch dispute,controversy or
claiminacourt,includingtherighttolitigateclaims
onaclass-wideorclass-actionbasis,andCustomer
expressly and knowingly waives those rights and
agrees to resolve any disputes through binding
arbitrationinaccordancewiththe provisionsofthis
Section4.5.ForCustomersnotresidingwithinthe
United States, any dispute, controversy or claim
describedinthissectionshallbenallyresolvedby
arbitration conductedby three neutral arbitrators
in accordance with the procedures of theR.O.C.
ArbitrationLawandrelatedenforcement rules.The
arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedings shall be conducted
inEnglishor,if bothpartiessoagree,inMandarin
Chinese.The arbitration award shall befinaland
bindingonthepartiesandmaybeenforcedinany
court having jurisdiction. Nothingin this Section
shall be deemed to prohibit or restrict Synology
fromseekinginjunctiverelieforseekingsuchother
rightsandremediesasitmayhaveatlaworequity
foranyactualorthreatenedbreachofanyprovision
of this Warrantyrelating to Synology's intellectual
propertyrights.
4.6 At t o rn e y s' Fe e s.
I n a n y a rbi t rat i on,
mediation, or other legal action or proceeding to
enforcerightsorremediesunderthisWarranty,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
4.7 Export Restrictions.
You acknowledge
that the Productmay be subject to U.S. export
restrictions.Youwillcomplywithallapplicablelaws
andregulationsthatapplytotheProduct,including
without limitation the U.S. ExportAdministration
Regulations.
4.8 Severabil ity.
If a ny provision of thi s
Warrantyisheldbyacourtofcompetentjurisdiction
tobeinvalid,illegal,orunenforceable,theremainder
ofthisWarrantywillremaininfullforceandeffect.
4.9 E n t i r e A g r e e m e n t .
T h i s Wa r r a n t y
constitutes theentireagreement,andsupersedes
any and all prior agreements, between Synology
andCustomerrelatedtothesubjectmatterhereof.
Noamendment,modicationorwaiverofanyofthe
provisionsofthisWarrantywill bevalidunless set
forth inawritteninstrumentsignedbythe party to
beboundthereby.
