2. Offer ; Ac c eptanc e
: These Term s ar e deemed part of all quotations, acknowl edgm ent s ,
inv oi c es , purc has e orders and other doc um ent s , whether electr oni c or in wri ti ng,
rel ati ng to the sale of Produc t s by Sel l er. Sel l er hereby obj ec ts to any Term s pr opos ed
in Buy er’s purc has e order or other documents whi c h are incons i s tent with, or in
addition to, these Terms .

II. SALES
1. Pr i c es ; Pay m ent: Al l pr i c es st ated are current, subj ec t to change wi t hout notic e by
Sel ler . Buy er agrees to pay the pri c e in effect at time of s hipment. Pay m ent s for
Pr oduc ts rec ei v ed are due net 30 day s unles s other wi s e stated in the i nv oi c e. B uy er
shal l hav e no r i ght to s et off any amounts against the amount owing i n res pec t of this
invoice.
2. Dis c ounts
: Cash di s c ount s , if any, will appl y onl y on the net amount of i nv oi c es s ent to
Buy er after deducti ng trans por tati on char ges , taxes and duties, and wi l l be all owed
only i f (a) the invoi ce is pai d accor di ng to Sell er’ s paym ent term s and (b) Buyer has no
past due am ount s owing to S eller.
3. Interest
: Sell er, at i ts opti on, may char ge Buy er 1.5% interes t per month or the
max i mum legal rate, whic hev er i s les s , on any bal anc e not pai d within the stated
terms .
4. Order s
: Seller will accept no order less than 200 U.S. dollars net billing.
5. Curr encies: If the pri c es quoted herein are in a cur renc y other than U.S. dollar s , Buy er
shal l m ak e rem i ttanc e to Sell er at the then curr ent exc hange rate most favor abl e to
Sel l er ; prov i ded that if remi ttanc e is not made when due, Buyer will conver t the am ount
to U.S. dollar s at the then curr ent exc hange rate most favorable to Sel l er avai lable
duri ng the per i od between the due date and the date remittance is actual l y m ade.
6. Gov ernmental Approv al s
: Buyer shal l be respons i ble for al l cos ts i nv ol v ed in obtaini ng
any governm ent approv al s regar di ng the impor tation or sal e of the Pr oduc ts .
7. Taxes
: All tax es , duties and other government al char ges (ot her than general real
proper ty and incom e taxes ) , including any interes t or penalties ther eon, im pos ed
dir ec tl y or indirectly on Seller or requir ed to be col l ec ted dir ec tl y or indi r ec tly by S eller
for the m anuf ac tur e, production, s al e, delivery, i m por tat i on, cons um pti on or use of the
Pr oduc ts sold her eunder (i nc l udi ng cus tom s duti es and sales , exc i s e, use, turnover
and lic ens e taxes) s hal l be charged to and rem i tted by Buyer to Sel l er.
8. Fi nanc i al
: If the financ i al pos i ti on of Buyer at any time becomes uns ati s fac tor y to
Sel ler , Sel l er res er v es the right to s t op shipm ent s or requir e sati s fac t ory s ec ur i ty or
paym ent in advance. If Buy er fail s to mak e payment or otherwi se com pl y wi th these
Terms or any relat ed agreement, Sel ler may (wit hout li ability and in additi on to other
rem edi es ) canc el any unshipped por ti on of Product s sol d hereunder and s top any
Pr oduc ts i n transi t unti l Buy er pay s all am ounts , inc luding amounts payabl e hereunder,
whether or not then due, whi c h are owing to it by Buy er. Buyer shal l i n any event
rem ai n li abl e for all unpai d accounts .
9. Cancel l at i on; Etc
: Orders are not subjec t to r es c hedul i ng or cancel l at i on unles s Buy er
indem nifies Seller fully against all cos t s or expenses arising in connec ti on therewi th.
10. Force Maj eur e
: Sell er shall not be li abl e for any delay or failur e in deli v ery r es ul ti ng
from c aus es beyond its contr ol, i nc luding earthquakes , fir es , floods , str i k es or other
labor di s putes , short age of l abor or mater i al s , acc i dents to mac hi ner y, ac ts of
sabotage, ri ots , delay i n or lack of transpor tati on or the r equi r em ents of any
gover nm ent authori ty.
11. Shipping; Del ivery
: Unless otherwi s e expr ess ly agreed i n wri ti ng by Sell er :
(a) All s al es and shipm ents of Produc t s shal l be FOB shi ppi ng point (unl es s otherwise
stated in writ i ng by Sell er ) , at which point titl e to and all ri s k of los s of the P roduc t s
shal l pas s from S el ler to Buy er, provi ded that Sell er shall retain a s ec ur i t y inter es t
in the P r oduc t s until the full pur c has e pric e is pai d by Buyer;
(b) Deliv er y and shippi ng dates are estim at es only ; and
(c ) Sel l er wi l l pac k age Produc t s as it deems proper for protec ti on agains t norm al
handli ng and ex t ra char ges apply to special conditions.
12. Claims
: Any claim by Buyer agains t Sel l er for shor tage or damage to the Produc ts
occ ur ring befor e deli v er y to the c arr i er m us t be pr es ented in detail i n writ i ng to S eller
within 30 days of r ec ei pt of shipm ent.
III. PRECAUTIONS
1. Suitability: IT IS THE BUYER’S SOLE RESPOINSIBILITY TO ENSURE THA T ANY
OM RON PRODUCT IS FIT AND S UFF ICIE NT FOR USE IN A MO TO RIZE D
VEHICLE APPLICA TION. BUYER SHALL BE SOLELY RESPONSIBLE FOR
DETERMINING APPROPRIA TENESS OF THE PARTICULAR PRODUCT W IT H
RESPECT TO THE BUYER’S APPLICA TION INCLUDING (A) ELECTRICAL OR
ELE CTRONIC COMP O NENT S , (B) CIRCUITS, (C) SYSTEM ASSEMBLIES, (D) END
PRO DUCT, ( E ) SYSTEM, (F) MA TERIALS OR SUBST ANCES OR (G) OPERATING
ENV IRO NM E N T. Buyer ack nowl edges that it alone has determi ned that the Pr oduc ts
wil l m eet their r equi r em ents of the i ntended use in all
cases. Buyer must know and

(a) Outdoor use, use i nv ol v ing potential chemi c al c ontaminati on or electr i c al
inter fer enc e.
(b) Use i n cons um er Pr oduc ts or any use in signi ficant quantiti es .
(c) Energy control systems, combustion systems, railroad systems, aviation systems,
medi c al equi pment, amusement mac hines, vehic l es , safety equi pm ent , and

: NEVER USE THE PRODUCT F OR AN APPLICA TION INVOLVING
SERIOUS RISK TO LIFE OR PROPERTY WITHOUT ENSURING THAT THE
SYSTEM AS A WHOLE HAS BEEN DESIGNED TO ADDRESS THE RISKS, AND
THAT THE PRO DUCT IS PROP ERLY RATED AND INSTALLE D FOR THE
INTENDED USE WITHIN THE OVERALL EQUIPMENT OR SYSTEM.
4. Motor i z ed Vehicle A ppl icati on
: USE OF A NY PRO DUCT/S FO R A M O TO RIZE D
VEHICLE APPLICA TION MUST BE EXPRESSL Y STA TED IN THE SPECIFICA TION
BY SELLER.
5. Pr ogr am m abl e Pr oduc ts
: Sell er shall not be respons i ble for the Buyer’ s progr amming
of a progr am m able P r oduc t.
IV. WARRANTY AND LIMITATION
1. W ar r anty : Sel l er’ s exc l us ive warranty is that the Product s wil l be free from defects i n
mater i als and work m ans hi p for a per i od of twelve months from the date of sal e by
Seller (or such other period expressed in writing by Seller). SELLER MAKES NO
WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, ABOUT ALL
OTHE R WA RRA NT IES , NON--INFRINGE M E NT, MERCHA NTA B ILITY OR FITNES S
FOR A PARTICULA R PURPO S E OF THE PRODUCT S .
2. Buy er Rem edy
: Sell er’ s sol e obli gat i on hereunder shal l be to replace (in the for m
ori gi nal ly shipped with Buyer r espons ible for labor charges for rem ov al or repl ac em ent
thereof) the non-com pl y ing P r oduc t or , at S eller’s el ec ti on, to repay or c r edi t Buy er an
amount equal to t he purchas e pric e of the Pr oduc t; prov i ded that there s hal l be no
liability for Seller or its affiliates unless Seller’s analys i s confirms that the Products wer e
handled, stor ed, ins tal led and mai ntai ned and not subj ec t to contami nation, abus e,
mi s us e or inappropr i ate modi f i c ati on. Retur n of any Pr oduc ts by Buy er m us t be
approv ed in writi ng by Seller before s hi pment.
3. Limitation on Liability
: SELLER AND ITS AFFILIA TES SHALL NOT BE LIABLE FOR
SPECIAL, INDIRECT , INCIDENT AL OR CONSEQUENTIAL DAMAGES, LOSS OF
PROF ITS OR PRODUCTIO N OR COM M E RCIA L LOSS IN ANY WAY CONNECTE D
WITH THE PRODUCT S , WHETHE R SUCH CLAIM IS BASED IN CONTRACT,
WARRANTY, NEGLIGENCE OR STRICT LIABILITY. FURTHER, IN NO EVENT
SHALL LIABILITY OF SELLER OR ITS AFFILIT A TES EXCEED THE INDIVIDUAL
PRICE OF THE PRODUCT ON WHICH LIA BILIT Y IS ASSERTED.
4. Indemnities
: Buyer shal l i ndem nify and hol d harmless Sel l er, its affiliates and its
empl oy ees fr om and against all l i abilities, losses, claims, costs and expenses (i nc luding
attorney ’ s fees and expenses ) rel ated to any c l ai m, i nv es t i gati on, litigati on or
proc eedi ng (whether or not S el ler is a part y ) whic h ari s es or is alleged to ari s e from
Buy er’s ac ts or omi s s i ons under these Terms or in any way wi t h respec t to t he
Pr oduc ts .
V. INFORMATION; ETC.
1. Intel l ec tual P r oper ty : The intell ec t ual proper ty em bodi ed in the P r oduc ts i s the
exc l us i v e propert y of Sell er and its affiliates and Buyer shall not attempt to duplic ate it
in any way without the written per m issi on of Sell er. Buyer ( at its own expense) shal l
indem nify and hol d harmless Sel l er and defend or settle any act i on brought against
Sel ler to the extent that i t is based on a cl ai m that any Produc t made to Buyer
spec i ficati ons inf ringed i ntellec tual proper ty r i ghts of another party.
2. Pr oper ty ; Confidentiali ty
: Notwithst andi ng any charges to Buyer for engineering or
tooling, al l engi neer i ng and t ool i ng shal l remain the ex c l us i v e property of Sel l er. Al l
infor m at i on and m ater ials suppl i ed by Sel l er to Buyer rel ating to the Products ar e
confi dent i al and propri etar y, and Buyer s hal l limit distribution thereof to its trusted
empl oy ees and stri c t l y prev ent dis c l os ur e to any thi r d party.
3. Per for m anc e Data
: Performance data is provided as a guide in determining suitability
and does not const i tute a warranty. It may repr es ent the r es ul t of Sell er’ s test
condi tions, and the users m us t corr el ate it to actual appli c ati on requi r em ents .
4. Change In Spec i f i c ati ons
: Product spec i f i c ati ons and descr i ption m ay be changed at
any tim e based on i m pr ov em ents or other reasons . It is Sel ler’s practice to change
part numbers when publi s hed rati ngs or features are changed, or when si gni f i c ant
engineer i ng changes are made. However, some speci f i c ati ons of the P r oduc t may be
changed without any notice.
5. Errors And Omi ssions
: The i nfor m ation on Sel l er’ s websi te or in other documentati on
has been c ar eful l y c hec k ed and i s believed to be accur ate; however, no res pons i bility
is as sumed for cleric al, ty pogr aphi c al or proofr eadi ng err ors or omissi ons .
6. Ex por t Control s
: Buyer shal l c om pl y wi th all appl i c abl e laws , regul ati ons and li cens es
regar di ng (a) export of the Pr oduc ts or inf ormation provi ded by Sel l er ; (b) sal e of
Pr oduc ts to forbidden or other proscr ibed per s ons or organiz ations; (c) dis c losure to
non-c i ti z ens of regul ated technol ogy or infor m ati on.
VI. MISCELLANEOUS
1. W aiver: No f ai l ur e or delay by Sell er i n exerc i s ing any ri ght and no cour s e of deal i ng
between Buyer and Sell er shal l oper ate as a wai v er of rights by Sel l er.
2. As s i gnm ent
: Buyer may not assi gn its r i ghts hereunder wi thout Sel l er’ s wri t ten consent.
3. Law
: These Term s ar e governed by Illinois law (wi thout regar d to c onfl i c t of laws) .
Federal and state courts i n Ill i nois have ex c l us ive juri s di c tion for any dis pute
hereunder.
4. Am endment
: These Term s c ons ti tut e the enti r e agreem ent between B uy er and Seller
rel ati ng to the Pr oduc ts , and no prov i s i on may be changed or wai v ed unless i n wri ti ng
si gned by the par ti es .
5. Severability
: If any prov i s i on hereof is render ed ineffec ti v e or inval id, s uc h provi s ion
shal l not inv al i date any other provi s i on.

Certain Precautions on Specifications and Use
1. Suitability of Use. Seller shall not be responsible for conformity with any
standards,codes orregulations whichapplytothe combinationof theProd-
uct in Buyer’ s application or use of the Product. At Buyers request, S eller
willprovideapplicablethirdparty certificationdocuments identi fyingratings
and limitations of use which apply to the Product. This information by itself
is not sufficient for a complete determination ofthe suitability of the Product
in combination withthe end product, machine, system,or otherapplication
or use. Buyer shall be solely responsible for determini ngappropriateness
ofthe particular Product withrespect toBuyer’sapplication,productorsys-
tem. Buyer shalltake applicationresponsibility in allcases but the following
is a non-exhaustive list of applications for which particular attention must
be given:
(i) Outdoor use, uses involving potential chemical contaminati on or
electrical interference, or conditions or uses not described i n this
document.
(ii) Energy control systems, combustion systems, railroad systems,
aviation systems, medical equipment, amusement machines,
vehicles, safety equipment, and installations subject to separate
industry or government regulations.
(iii) Use in consumer products or any use i n significant quanti ties.
(iv) Systems, machines and equipment that could present a risk to life or
property. Please know and observe all prohibitions of use applicable
to this product.
NEVER USE THE PRODUCT FOR AN APPLICATION INVOLVING SE-
RIOUSRISK TO LIFEORPROPERTYWITHOUTENSURINGT H ATTHE
SYSTEM AS A WHOLE HAS BEEN DESIGNED TO ADDRESS THE
RISKS, AND THAT THE OMRON PRODUCT ISPROPERLYRATEDAND
INSTALLED FOR THE INTENDED USE WITHIN THE OVERALL EQUIP-
MENT OR SYSTEM.
2. ProgrammableProducts
. Seller shallnot beresponsiblefor theuser’spro-
gramming of a programmable product, or any consequence thereof.
3. Performance Data
