Anysoftwareprovidedtoyou

or supplements the original Software is governed
by this EULA unless separate license terms are
provided with such updates or supplements, in
whichcase,suchseparatetermswillgovern.
Section 5. License Limitations.
Thelicenseset
forthinSection1appliesonlytotheextentyouhave
ordered andpaidforthe Productandit statesthe
entiretyofyourrightswithrespecttotheSoftware.
Synology reservesallrightsnot expressly granted
toyouinthisEULA.Withoutlimitingtheforegoing,
you will not,and you willnotauthorize orpermit
any third party to: (a) use the Software for any
purposeotherthaninconnectionwiththeProduct;
(b)license, distribute, lease, rent, lend, transfer,
assign or otherwise dispose of the Software or
use the Software in any commercial hosted or
service bureauenvironment;(c)reverseengineer,
decompile,disassemble or attempt to discover the
sourcecodefororanytradesecretsrelated to the
Software,exceptandonly to the extent thatsuch
activity is expressly permitted by applicable law
notwithstanding thislimitation;(d) adapt, modify,
alter,translateorcreateanyderivativeworksofthe
Software;(e)remove,alterorobscureanycopyright
notice or other proprietary rights notice on the
Product; or (f)circumvent or attempttocircumvent
any methods employed by Synology to control
accesstothecomponents,featuresorfunctionsof
theProductorSoftware.
Section 6. Open Source.
The Software may
containcomponentslicensedtoSynologyunderthe
GNUGeneralPublicLicense("GPLComponents"),
currently available at http://www.gnu.org/licenses/
gpl.html. Theterms oftheGPLwill control solely
withrespecttothe GPLComponentstotheextent
that this EULA conflicts with the requirements
of the GPL with respect to your use of the GPL
Components, and, insuchevent, youagreetobe
boundbytheGPLwithrespecttoyouruseofsuch
components.
Section 7. Audit.
Synologywillhave theright to
audityourcompliance withthetermsofthisEULA.
Youagreetogrant access toSynologytofacilities,
equipment, books, records and documentsandto
otherwisereasonablycooperate with Synology in
ordertofacilitateanysuchaudit.
Section 8. Ownership.
The Softwareisvaluable
property of Synology and its licensors and is
protected by copyright and other intellectual
propertylawsandtreaties.Synologyoritslicensors
ownallright,titleandinterestinandtotheSoftware
and all copyright and other intellectual property
rightsintheSoftware.
Section 9. Limited Warranty.
Synologywarrants
that for a period of ninety (90) days after either
your (a)installation of the Software on Products
that do not include pre-installed Software or
(b) use of a Productthat includes pre-installed
Software,asapplicable,(the"WarrantyPeriod"),the
Software will substantiallyconformto Synology's
published specifications for the Software, if any,
or otherwisesetforth ontheWeb Site.Synology
will use commercially reasonable efforts to, in
Synology's solediscretion,eithercorrectanysuch
nonconformity in the Software or replace any
Software that fails to comply with the foregoing
warranty,provided that you give Synology written
notice ofsuchnoncompliance withintheWarranty
Period. The foregoing warranty does not apply
to any noncompliance resulting from any: (w)
use,reproduction, distribution ordisclosure not in
accordancewith thisEULA; (x)anycustomization,
modification orother alteration oftheSoftware by
anyoneotherthanSynology;(y)combinationofthe
Softwarewith anyproduct,servicesorother items
providedbyanyoneotherthanSynology;or(z)your
failuretocomplywiththisEULA.
Section 10. Support.
DuringtheWarrantyPeriod,
Synology will make availableto you thesupport
services. Following the expiration of the applicable
Warranty Period, support for Software may be
availablefromSynologyuponwrittenrequest.
Section 11. Disclaimer of Warranties.

ANDITSSUPPLIERSPROVIDETHESOFTWARE

software" or "commercial computer software
documentation"withinthemeaningofFARPart12.
Section 16. Termination.
Without prejudice to
anyotherrights,SynologymayterminatethisEULA
if you do not abide by the terms and conditions
contained herein. In such event, youmust cease
use of theSoftware anddestroyall copies of the
Softwareandallofitscomponentparts.
Section 17. Assignment.
You may nottransfer
or assignyour rightsunder this EULAto any third
party.Anysuchtransferorassignmentinviolation
oftheforegoingrestrictionwillbevoid.
Section 18. Applicable Law.
Unless expressly
prohibited by local law, this EULA is governed
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The 1980U.N. Convention onContracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
Section 19. Dispute Resolution.
Any dispute,
controversyor claim arising out of or relating to
this Warranty, the Software or services provided
by Synology withrespect to the Software or the
relationship between you and Synology will be
resolvedexclusivelyandnallybyarbitrationunder
the current commercial rules of theAmerican
ArbitrationAssociation if you residein the United
States, except as otherwise provided below. In
suchcases,thearbitrationwillbeconductedbefore
asingle arbitrator,andwillbe limitedsolelytothe
disputebetweenyouandSynology.Thearbitration,
or any portion of it, will not beconsolidated with
any other arbitrationandwill not beconductedon
aclass-wide orclass action basis.Thearbitration
shallbeheldinKingCounty, Washington, U.S.A.
bysubmissionof documents,by telephone, online
or in person as determined by the arbitrator at
the request of the parties.Theprevailing party in
anyarbitration orlegal action occurring within the
United States or otherwiseshall receiveall costs
and reasonable attorneys’ fees, including any
arbitration fee paid by the prevailing party.Any
decision rendered in such arbitration proceedings
will be final and binding on the parties, and
judgmentmay beenteredthereon in anycourtof
competent jurisdiction.Youunderstand that,in the
absence ofthis provision, you would have had a
right to litigate any such dispute, controversy or
claiminacourt,includingtherighttolitigateclaims
on a class-wide or class-action basis, and you
expresslyand knowingly waives thoserightsand
agrees to resolve any disputes through binding
arbitration in accordance with the provisions of
this Section 19. If you do not reside within the
UnitedStates, any dispute, controversy or claim
describedinthisSection shall befinally resolved
byarbitrationconductedbythreeneutralarbitrators
inaccordance withtheprocedures of the R.O.C.
ArbitrationLawandrelatedenforcementrules.The
arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedingsshallbeconducted
inEnglishor,ifboth partiessoagree,inMandarin
Chinese. The arbitrationaward shallbe final and
bindingonthepartiesand may beenforcedinany
court having jurisdiction. Nothing inthis Section
shallbedeemedtoprohibitorrestrictSynologyfrom
seekinginjunctiverelieforseekingsuchotherrights
and remediesasit may have at law or equity for
anyactualorthreatenedbreachofanyprovisionof
thisEULArelatingtoSynology'sintellectualproperty
rights.
Section 20. Attorneys' Fees.
In anyarbitration,
mediation, or other legal action or proceeding to
enforce rights or remedies under this EULA,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
Section 21. Severability.
Ifany provisionofthis
EULAisheldbyacourtofcompetentjurisdictionto
beinvalid, illegal, orunenforceable,the remainder
ofthisEULAwillremaininfullforceandeffect.
Section 22. Entire Agreement.
This EULA
sets forth the entire agreement of Synology and
you with respect to the Software and the subject
mat ter h ereof a nd supe rsedes all p rior and
contemporaneousunderstandings and agreements
w h e t h e r w r i t t e n o r o ra l . N o a m e n dm e n t ,
modification or waiver of anyof theprovisions of
thisEULAwillbevalid unlesssetforthinawritten
instrumentsignedbythepartytobeboundthereby.

SYNOLOGY,INC.AND ITSAFFILIATES,INCLUDING SYNOLOGYAMERICACORP, (COLLECTIVELY,
"SYNOLOGY").YOUACCEPTANDAGREETOBEBOUNDBYTHETERMSOFTHISWARRANTYBY
OPENINGTHEPACKAGECONTAININGAND/ORUSINGTHEPRODUCT.IFYOUDONOTAGREETO
THETERMSOFTHISWARRANTY,DONOTUSETHEPRODUCT.INSTEAD,YOUMAYRETURNTHE
PRODUCTTOTHERESELLERWHEREYOUPURCHASEDITFORAREFUNDINACCORDANCEWITH
THERESELLER'SAPPLICABLERETURNPOLICY.
Section 1. Definitions.
(a) "Category IProduct"

RS408-RP, RS408, RS407,RX1211,RX1211RP,
DX510,DX5, RX4, and RAMModule (1GB/2GB).
(c)"CategoryIIIProduct"meansallotherSynology
product models purchased by Customer after
March1,2008.(d) "Category IV Product" means
all other Synology product models purchased by
CustomerbeforeFebruary29,2008.(e)"Customer"
means the original person or entity purchasing
the Product from Synology or an authorized
Synology distributor or reseller. (f) "Product"
meansa Category IProduct,CategoryII Product,
Category III Product,or Category IV Product and
any hardware incorporated into the product by
Synologyandanyaccompanyingdocumentation.(g)
"Software"meanstheSynologyproprietarysoftware
that accompaniesthe Productwhen purchasedby
Customer,is downloadedbyCustomer at the Web
Site,orispre-installedontheProductbySynology,
and includes any firmware, associated media,
images,animations, video,audio,textandapplets
incorporatedintothe software orProductand any
updatesorupgradestosuchsoftware.(h)"Warranty
Period" means: (i)theperiod commencingonthe
date theProductis purchased by Customer and
ending (1) five yearsafter such dateforCategory
I Products; (2) three years after such date for
CategoryII Products;or (3)twoyears after such
dateforCategoryIIIProducts;or(ii)oneyearafter
such dateforCategoryIV Products. (i)"WebSite"
means the Synology web site located at www.
synology.com.
Section 2. Limited Warranty and Remedies
2.1 Limited Warranty.
Subjectto Section 2.7,
Synology warrants toCustomer that each Product
(a) willbe freeofmaterial defectsinworkmanship
and(b)undernormal usewillperformsubstantially
i n a c c o r d a n c e w i t h S y n o l o g y ' s p u b l i s h e d
specificationsfortheProduct duringtheWarranty
Period.SynologywarrantstheSoftwareassetforth
in theaccompanying end user licenseagreement
providedwiththeProduct,ifany.
2.2 Product Registration.
Customers may
register Products with Synology and may obtain
the manufacturingdate for Category I Products,
CategoryII Productsand CategoryIIIProductsat
the WebSite.The failureto register a Productat
theWebSitewill notdiminish the warrantyrights
setforthinSection2.1.Synologyisnotresponsible
forCustomer'sfailureto identifythemanufacturing
dateofanyProduct.
2.3 Exclusive Remedy.
If Customer gives
noticeofnoncompliancewith anyofthewarranties
set forth in Section 2.1 within the applicable
Warranty Period in the manner set forth below,
then, upon verification of the noncompliance by
Synology, Synology will, at Synology's option:
(a) use commercially reasonable efforts torepair
the Product, or (b) replace the noncomplying
Productorpartthereofuponreturnofthecomplete
Product in accordance with Section 2.4 The
foregoing setsforth Synology's entire liability and
Customer's sole and exclusive remedy for any
breachofwarrantyunderSection 2.1oranyother
defect or deficiency in the Product. Customer
will reasonably assist Synology to diagnose and
validateany nonconformitywiththeProduct.The
warranty setforthinSection 2.1doesnot include:
(1) any warranty relating to the Software; (2)
physical installation or removal of the Product
from Customer'ssite;(3) visitstoCustomer'ssite;
(4) labor necessary to effect repairs or replace
defective parts other than during Synology's or
its contracted service providers' normal local
businesshours,exclusiveofweekendsandservice
providers’holidays;(5)anyworkwithanythirdparty
equipmentorsoftware;(6)anywarrantyofthehard
diskifinstalledbyCustomeroranyotherthirdparty;
or(7) any warranty of compatibility with the hard
disk.
2.4 Return.
AnyProductreturnedbyCustomer
under Section 2.3 must be assigned a Return
MerchandiseAuthorization ("RMA") number by
Synology before shipmentand mustbe returned
in accordancewith Synology's then currentRMA
procedures.Customermaycontactanyauthorized
SynologydistributororresellerorSynologySupport
to obtain assistance in obtaining an RMA, and
must provideproofofpurchaseand product serial
number when asking for such assistance. For
warrantyclaims,Customermustreturnthecomplete
ProducttoSynologyinaccordancewiththisSection
2.4tobeeligiblefor coverage underthisWarranty.
AnyProductreturnedwithoutanRMAnumber,or
any Product that has been disassembled(except
underthedirectionofSynology)willberefusedand
returnedtoCustomer atCustomer'sexpense.Any
Product that has been assigned a RMA number
must be returned in thesame conditionasitwas
receivedfromSynologyto theaddress designated
bySynology,freightpre-paid,inpackagingsufcient
toprotect thecontents thereofand with the RMA
numberprominentlydisplayedontheoutsideofthe
box.Customerisresponsibleforinsuranceandrisk
oflosswithrespecttoreturneditemsuntiltheyare
properlyreceived by Synology. AProduct issued
aRMAnumbermustbereturnedwithinfteen(15)
daysafterissuanceoftheapplicableRMAnumber.
2.5 Replacement by Synology.
If Synology
elects toreplaceanyProduct underthisWarranty
setforthinSection 2.1,then Synology willship a
replacement Product at Synology's expense via
the shipping method selected by Synology after
receipt of the nonconforming Product returned
inaccordance withSection2.4 and validation by
Synology that the Product does not conform to
the warranty. Replacement Product will be new
or serviceably used, comparable in function and
performancetotheoriginalProduct andwarranted
for the remainderof the original WarrantyPeriod
or thirty (30) daysafter it isshippedtoCustomer,
whichever period is longer Any Productfound by
Synology to be non-defective will be returned to
Customer.
2.6 Support.
During the Warranty Period,
Synology will make available to Customer the
support services.Following the expiration of the
applicable Warranty Period, support for Products
may be available from Synology upon written
request.
2.7 Exclusions.
Theforegoingwarrantiesand
warranty obligations do not apply to any Product
that(a)hasbeeninstalledorusedinamannernot
speciedordescribedintheProductspecications;
(b)hasbeenrepaired,modiedoralteredbyanyone
other than Synology or its agentordesignee; (c)
hasbeeninanywaymisused,abused,ordamaged;
(d) has been used with items not provided by
Synology other than the hardware or software for
which the Product is designed; or (e) otherwise
failstoconform to theProductspecificationsand
such failureis attributableto causesnotwithinor
under Synology's control. Further, the foregoing
warrantieswillbevoidif(1)Customerdisassembles
the Product except as authorized by Synology;
(2) Customer fails to implement any correction,
modification,enhancement, improvementorother
updatemade availabletoCustomerbySynology;
or(3) Customer implements,installsoruses any
correction,modication,enhancement,improvement
orotherupdatemadeavailable byany thirdparty.
Thewarrantyset forth in Section2.1willterminate
uponCustomer'ssaleortransferoftheProducttoa
thirdparty.

Section 3. Limitations of Liability
3.1 Force Majeure.
Synology willnotbe liable
for,orbeconsidered tobe inbreachof ordefault
under this Warranty on account of, any delay or
failure to perform as required by this Warranty
as a result of any cause or condition beyond its
reasonablecontrol(including,withoutlimitation,any
actorfailuretoactbyCustomer).
3.2 Disclaimer of Certain Damages.

LIABLEFORTHECOSTOFCOVERORFORANY
INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE,
CONSEQUENTIAL OR SIMILAR DAMAGES OR

NOTLIMITEDTOLOSSOFDATA,INFORMATION,
REVENUE,PROFITORBUSINESS)ARISINGOUT
OF OR RELATINGTOTHEUSE OR INABILITY
TO USE THE PRODUCT,ANYACCOMPANYING
DOCUMENTATION OR SOFTWAREANDANY
OTHER GOODS OR SERVICES PROVIDED
UNDERTHISWARRANTY,WHETHERBASEDON

3.3 Limitation of Liability.

AND ITS SUPPLIERS' LIABILITYARISING OUT
OF OR RELATINGTOTHEUSE OR INABILITY
TO USE THE PRODUCT,ANYACCOMPANYING
DOCUMENTATION OR SOFTWAREANDANY
OTHER GOODS OR SERVICES PROVIDED
UNDER THIS WARRANTY IS LIMITEDTOTHE
AMOUNT ACTUALLY PAID BY C U STOMER
FOR THE PRODUCT REGARDLESS OF THE
AMOUNTOFDAMAGESCUSTOMERMAYINCUR
AND WHETHER BASED ON CONTRACT,TORT
(INCLUDING NEGLIGENCE), STRICT LIABILITY
OROTHERTHEORY.Theforegoingdisclaimerof
certaindamagesand limitationofliabilitywillapply
tothemaximumextentpermittedbyapplicablelaw.
The laws ofsomestates/jurisdictionsdo not allow
exclusion orlimitationof certaindamages. Tothe
extent that those laws apply to the Product, the
exclusions andlimitations setforthabove maynot
applytoCustomer.
Section 4. Miscellaneous
4.1 Proprietary Rights.
The Product and
any accompanying Software and documentation
providedwith the Product include proprietary and
intellectualpropertyrightsofSynologyanditsthird
partysuppliersandlicensors.Synologyretainsand
reservesallright,title,andinterestintheintellectual
property rights of the Product, and no title to or
ownershipofany intellectualproperty rights in or
to the Product, any accompanying Software or
documentationandanyothergoodsprovidedunder
thisWarrantyistransferredtoCustomerunderthis
Warranty.Customerwill(a)complywiththeterms
and conditions of the Synology enduser license
agreementaccompanying any Software furnished
by Synologyoran authorized Synology distributor
orreseller;and(b)notattempttoreverseengineer
anyProductorcomponentthereoforaccompanying
Softwareorotherwisemisappropriate,circumventor
violateanyofSynology'sintellectualpropertyrights.
4.2 Assignment.
Customerwillnotassignany
ofitsrightsunderthisWarrantydirectly,byoperation
oflaworotherwise,withoutthepriorwrittenconsent
ofSynology.
4.3 No Additional Terms.
Exceptasexpressly
permitted by this Warranty, neither party will be
boundby, and each partyspecifically objectsto,
anyterm,condition or other provisionthatconicts
with the provisions of this Warranty thatis made
by theotherpartyinany purchase order,receipt,
acceptance, confirmation, correspondence or
otherwise,unlesseachpartyspecicallyagreesto
suchprovisionin writing.Further,if thisWarranty
conicts with anyterms orconditionsof any other
agreement enteredintobythe partieswithrespect
totheProduct,thisWarrantywillprevail unlessthe
otheragreementspecicallyreferencesthesections
ofthisWarrantythatitsupersedes.
4.4 A p p l ic ab l e L a w.
U n l e ss e x p r e s sl y
prohibited by local law,this Warranty is governed
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The 1980U.N. Convention onContracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
4.5 D i s p u t e Re s o l u t i o n .
A n y d i s p u t e ,
controversyor claim arising out of or relating to
this Warranty, the Product or services provided
by Synology with respect to the Product or the
relationship between Customers residing within
theUnited States andSynology will be resolved
exclusively and finally by arbitration under the
currentcommercialrulesoftheAmericanArbitration
Association,except as otherwise providedbelow.
The arbitration will be conducted before a single
arbitrator,andwill be limitedsolely to the dispute
betweenCustomerand Synology.Thearbitration,
or any portion of it, will not beconsolidated with
any other arbitrationandwill not beconductedon
aclass-wide orclass action basis.Thearbitration
shallbeheldinKingCounty, Washington, U.S.A.
bysubmissionof documents,by telephone, online
orinpersonasdeterminedby thearbitratoratthe
requestof the parties.Theprevailingparty in any
arbitrationorlegalactionoccurringwithintheUnited
States or otherwise shall receive all costs and
reasonableattorneys’fees,includinganyarbitration
fee paid by the prevailing party. Any decision
rendered in such arbitration proceedings will be
final and binding on the parties, and judgment
maybeenteredthereonin any courtofcompetent
jurisdiction. Customer understands that, in the
absenceofthisprovision,Customerwouldhavehad
aright tolitigate any such dispute, controversy or
claiminacourt,includingtherighttolitigateclaims
onaclass-wideorclass-actionbasis,andCustomer
expresslyand knowingly waives thoserightsand
agrees to resolve any disputes through binding
arbitrationinaccordancewith theprovisionsofthis
Section4.5.ForCustomersnotresidingwithinthe
UnitedStates, any dispute, controversy or claim
describedinthissectionshallbenallyresolvedby
arbitration conductedby threeneutral arbitrators
inaccordance with theprocedures oftheR.O.C.
ArbitrationLawandrelated enforcementrules.The
arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedings shall be conducted
inEnglishor,ifboth partiesso agree,inMandarin
Chinese. Thearbitration awardshall be final and
bindingonthepartiesandmaybeenforcedinany
court having jurisdiction. Nothing in thisSection
shall be deemed to prohibit or restrict Synology
fromseekinginjunctiverelieforseekingsuchother
rightsandremediesasitmayhaveatlaworequity
foranyactualorthreatenedbreachofanyprovision
of thisWarranty relating toSynology's intellectual
propertyrights.
4.6 A tto r ney s ' F e es.
I n a n y a r bit r ati o n ,
mediation,or other legal action or proceedingto
enforcerightsorremediesunderthisWarranty,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
4.7 Export Restrictions.
You acknowledge
that the Product may be subject to U.S. export
restrictions.Youwillcomplywithallapplicablelaws
andregulationsthatapplytotheProduct,including
without limitation the U.S. ExportAdministration
Regulations.
4.8 S evera bility.
I f any p rovis ion of thi s
Warrantyisheldbyacourtofcompetentjurisdiction
tobeinvalid,illegal,orunenforceable,theremainder
ofthisWarrantywillremaininfullforceandeffect.
4.9 E n t i r e A g r e e m e n t .
T h i s Wa r r a n t y
constitutes the entire agreement, and supersedes
any and all prioragreements, between Synology
andCustomerrelatedtothesubjectmatterhereof.
Noamendment,modicationorwaiverofanyofthe
provisions ofthisWarrantywillbe valid unless set
forth inawritteninstrumentsignedby theparty to
beboundthereby.
